These Terms of Service (“Terms”) govern your access to and use of the website, platform, and services provided by Awaken Group Inc. (“Awaken,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

Awaken Group Inc. provides technology tools and infrastructure designed to support private investment managers, advisors, and related institutions in structuring, monitoring, and coordinating retirement-eligible investment vehicles.

Our services are informational and operational in nature. Awaken does not act as an investment adviser, broker-dealer, fiduciary, custodian, or law firm unless expressly agreed in a separate written agreement.

Certain features may require account registration. You agree to provide accurate and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

You may use the services solely for lawful business purposes related to your organization’s evaluation or use of our platform.

You may not:

• Reverse engineer, copy, or modify the platform
• Use the services for unlawful or fraudulent purposes
• Interfere with platform security or functionality
• Attempt unauthorized access to systems or data

All content, software, design elements, trademarks, and materials provided through the services are owned by or licensed to Awaken Group Inc.

Except as expressly permitted, no portion of the services may be copied, reproduced, distributed, or exploited without our prior written consent.

You agree not to disclose or misuse any non-public information obtained through the services.

If you provide confidential information to Awaken, we will use reasonable measures to protect it consistent with our Privacy Policy and any applicable agreements.

The services are provided on an “as is” and “as available” basis.

Awaken Group Inc. makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Nothing on the platform constitutes legal, investment, tax, or fiduciary advice.

To the fullest extent permitted by law, Awaken Group Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities arising from use of the services.

Our total liability for any claim relating to the services shall not exceed the amount paid (if any) by you to Awaken in the twelve months preceding the claim.

You agree to indemnify and hold harmless Awaken Group Inc., its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of your use of the services or violation of these Terms.

We may suspend or terminate access to the services at any time if you violate these Terms or if required for legal, security, or operational reasons.

Upon termination, your right to use the services will immediately cease.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York, New York.

We may update these Terms from time to time. Continued use of the services after changes become effective constitutes acceptance of the updated Terms.
